Waiver

In consideration of Student Athlete ("Student Athlete") being allowed to participate in any activity or join the Benfica Residential Academy ("Benfica RA") and use any facility or reside on any property of Saint Leo University ("Saint Leo") or any other partner (together the "Academy"), Student Athlete and their legal Parent or Guardian ("Parent/Guardian"), as well as their personal representatives, respective next of kin, assigned and/or unborn children, do hereby waive any and all legal claims against the Academy and hereby covenant not to sue or bring any legal action against the Academy, or their respective affiliated entities, or any of their respective owners, members, officers, directors, employees, volunteers, sponsors, independent contractors or agents, for any claim, demand, or lawsuit whatsoever, including, but not limited to, those which may arise from or relate to Student Athlete's own actions, inactions, conduct or negligence, as well as those of any third parties, the condition of any facility, property or premises or equipment on such property and/or premise or any act of the Academy's own negligence or the negligence of any Academy owner, member, officer, director, employee, volunteer, sponsor, independent contractor or agent or any other party whose conduct may be attributed to the Academy. Student Athlete and their Parent/Guardian agree that this release, waiver and indemnity ("Waiver") specifically includes and is not limited to any claims for personal injury or illness (including death) as well as any damage to, or the theft or loss of, any personal property. Student Athlete and Parent/Guardian agree and understand that this Waiver shall be in full force and effect throughout Student Athlete's visit and/or enrollment at the Academy and at any, and all other times as well as each and every time Student Athlete enters any property or uses any facility of the Academy together with any of their family members, relatives, invitees or guests and shall continue in full force thereafter. This provision shall apply to all acts or omissions, negligent or willful misconduct, whether passive or active, on the part of Student Athlete while visiting and/or enrolled at the Academy. Student Athlete and Parent/Guardian specifically agree to defend, indemnify, and hold harmless the Academy and all the Academy's officers, agents, and employees from and against all claims, liability, loss, and expense, including reasonable costs, collection expenses, attorneys' fees, and court costs which may arise in connection to any action, inaction, conduct or negligence of Student Athlete. Student Athlete and Parent/Guardian do hereby recognize the broad nature of this Waiver, as well as the provision of a legal defense to the Academy, and both voluntarily make this covenant and expressly acknowledge the receipt of such good and valuable consideration provided by the Academy in support of these indemnification, legal defense and hold harmless contractual obligations in accordance with the laws of the State of Florida. This Waiver shall survive the termination of any visit, and/or participation or enrollment of the Student Athlete at the Academy.

Student Athlete and Parent/Guardian agree and understand that physical activity carries with it certain risks and dangers that cannot be eliminated regardless of any care taken to minimize or prevent any harm. The Academy has facilities for various sports and other related physical activities including but not limited to soccer, swimming, physical training, strength training, cycling and running. Student Athlete and Parent/Guardian understand that the specific risks of any such activity can vary and range from minor bruises, cuts and muscle strains and sprains to major injuries such as fractured and broken bones, loss of teeth and concussions to catastrophic injuries such as a fractured skull, heart attack or stroke, disfigurement, loss of sight, speech or hearing, loss of mental capacity, paralysis, or even death, Student Athlete and Parent/Guardian agree and understand that Student Athlete's actions, inactions, conduct or negligence in any Academy activities, events, or use of facilities and/or equipment may result in injuries or economic losses. Student Athlete and Parent/Guardian acknowledge that there may be other risks than those described above including, but are not limited to, contact with other participants and/or students, falling, the effects of weather, conditions of the facilities and/or premises, physical exertion, and the negligence of others that are not known to the Academy and not reasonably foreseeable. Student Athlete and Parent/Guardian agree and understand that Student Athlete may be exposed, or may expose others, to contagious and potentially harmful or deadly diseases including but not limited to influenza, common cold, chicken pox, meningitis, and/or measles. Student Athlete and Parent/Guardian acknowledge that Student Athlete may also be exposed to known and unknown risks while being treated for any physical, mental or other medical condition, as well as while traveling to and from competitions, social events or elsewhere or attending events with large crowds. Student Athlete and Parent/Guardian waive any and all claims against the Academy related to any of these events or circumstances that they acknowledge and understand to exist. Student Athlete and Parent/Guardian agree that they have read and understand this Waiver and understand the nature of the activities of the Academy, the demands of those activities related to skill level and physical condition of Student Athlete and the types of injuries and/or illnesses and risks related to treatment for any physical, mental or other medical condition which may occur as a result of such activities. Student Athlete and Parent/Guardian hereby acknowledge that participation in any activity or event of the Academy as well as the use of facilities and/or equipment of the Academy is completely voluntary, and that Student Athlete and Parent/Guardian knowingly assume any and all related risks. Student Athlete and Parent/Guardian hereby agree that even if the Academy uses reasonable care in providing any activities, there is a chance Student Athlete may be seriously injured or killed by participating in such activities because there are certain dangers inherent in such activities which cannot be avoided or eliminated. Student Athlete and Parent/Guardian acknowledge that by signing this Waiver they are giving up their rights to recover from the Academy in a lawsuit for any personal injury, including death, to Student Athlete or any property damage that results from the risks that are a natural part of such activities of the Academy. Student Athlete and Parent/Guardian acknowledge they have the right to refuse to sign this Waiver, and the Academy also has the right to refuse to let Student Athlete participate in any activities if they do not sign this Waiver.

Student Athlete and Parent/Guardian consent to any recording, photographing and filming of Student Athlete ("Recordings") and agree that the Academy may use such Recordings at any time and in any manner without any payment or consent of Student Athlete or Parent/Guardian. Student Athlete and Parent/Guardian hereby release the Academy and its partners from all claims related to the use of such Recordings. Student Athlete and Parent/Guardian hereby grant the Academy permission to use Student Athlete's name and likeness in any photograph, video, or other media ("Media") in any and all of the Academy's publications, including but not limited to digital and web-based publications, without payment or other consideration. Student Athlete and Parent/Guardian understand and agree that all Media will become the property of the Academy and will not be returned and hereby irrevocably authorize the Academy to edit, alter, copy, exhibit, publish, or distribute such Media for any lawful purpose. In addition, Student Athlete and Parent/Guardian waive any right to inspect or approve any finished Media product wherein Student Athlete's likeness appears and waive any right to royalties or other compensation arising from or related to the use of such Media. Student Athlete and Parent/Guardian agree and understand that the Academy has rules and standards of conduct that are set forth in the Benfica Residential Academy Student Athlete Handbook and Saint Leo and/or any other partner handbooks ("Student Athlete Handbooks"). Student Athlete and Parent/Guardian hereby agree that they have read and understand all these Student Athlete Handbooks and shall always follow and abide by these Student Athlete Handbooks for the safety of all students, participants, invitees, guests and employees. Student Athlete and Parent/Guardian acknowledge, fully understand and accept that any additional rules and standards or changes to existing rules and standards by the Academy may take place at any time and that Student Athlete agrees to abide by those rules and standards as updated and amended. Student Athlete and Parent/Guardian agree that any discipline associated with Student Athlete's violation of the Student Athlete Handbooks can subject them to discipline including, but not limited to, expulsion from the Academy and any such discipline and the level of it is within the sole discretion of the Academy. Student Athlete and Parent/Guardian acknowledge and understand that they are not entitled to the return of any funds paid to the Academy if Student Athlete is removed or expelled from the Academy or for any other decision that is made to withdraw Student Athlete from the Academy. Parent/Guardian understand that they are still responsible for the remaining balance of the fees or tuition due if Student Athlete is removed or expelled from the Academy or for any decision they have made to withdraw Student Athlete from the Academy. Student Athlete and Parent/Guardian hereby agree that any uniforms, training gear, travel gear, or other Academy issued items and garments are the property of the Academy. Any such item that is not returned to the Academy as directed or that is damaged beyond normal wear and tear shall result in a charge to Parent/Guardian. Student Athlete shall always be responsible for such items after issuance by the Academy and until Student Athlete has returned such items and Academy staff have checked and determined them to not be lost or damaged. Student Athlete and Parent/Guardian agree and understand that while Student Athlete is at the Academy they shall have access to various facilities including but not limited to dorm rooms, dining halls, cafeterias, auditoriums, gymnasiums, swimming pools, chapels and wellness centers which may be open to Saint Leo students as well as other guests and may not always be under the supervision of Academy staff. Student Athlete and Parent/Guardian acknowledge and agree that Student Athlete may enter other student's dorm rooms, and that Student Athlete shall always follow all rules and regulations of items stored and used in all dorm rooms and other facilities. Student Athlete and Parent/Guardian agree and understand that Academy staff may not always be present in dorm rooms or other facilities or around the Student Athlete while at the Academy and at all times and that Academy staff supervision of Student Athlete shall mostly be during school hours and scheduled training times for Student Athlete and other students at the Academy and Academy staff shall not be held liable for another student or guest harming Student Athlete while at the Academy. Student Athlete and Parent/Guardian acknowledge that they have read this Waiver and fully understand all the terms and conditions and have had the opportunity to have an attorney review it and advise them on it. Student Athlete and Parent/Guardian agree and understand that this Waiver is intended to be as broad and inclusive as permitted under the laws of the State of Florida (without giving effect to any choice or conflict of law provision or rule) and is intended to severable such that if any term or provision is declared to be illegal, void, or unenforceable, the remainder of the provisions shall continue to be valid, enforceable, and in full legal force and effect. Student Athlete and Parent/Guardian acknowledge that they are signing this Waiver freely and voluntarily and intend their signatures to be a complete assumption of all the inherent risks of participating in or observing any activities of the Academy and an unconditional release of all liability to the greatest extent allowed by law in the State of Florida.
